End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you and Northfox ("Northfox," "we," "us," or "our") governing your use of the Northfox software, applications, and related documentation (collectively, the "Software").

By installing, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License Grant​

Subject to this Agreement, Northfox grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your internal, personal, or business use.

2. Ownership​

The Software is licensed, not sold. Northfox and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

3. Restrictions​

You agree not to:

  • Copy, modify, or create derivative works of the Software, except as permitted by applicable law.
  • Reverse engineer, decompile, or disassemble the Software, except where such restriction is prohibited by applicable law.
  • Rent, lease, sell, sublicense, assign, distribute, or otherwise transfer the Software to any third party.
  • Remove, alter, or obscure proprietary notices or branding.
  • Use the Software in violation of applicable law or regulation.

4. Accounts, Third-Party Services, and Connectivity​

Some features may require an account, subscription, internet connectivity, or integration with third-party providers (including AI model or data providers). Your use of those services may be subject to separate third-party terms.

Northfox is not responsible for third-party services, outages, or changes in third-party terms, policies, APIs, or availability.

5. Updates and Changes​

Northfox may provide patches, updates, upgrades, or new versions and may modify or discontinue features at any time. Some updates may be required to continue using parts of the Software.

6. Term and Termination​

This Agreement remains in effect until terminated.

You may terminate this Agreement by stopping use of the Software and removing it from your devices. Northfox may suspend or terminate your license if you breach this Agreement. Upon termination, your license ends immediately and you must stop using the Software.

7. Disclaimer of Warranties​

To the fullest extent permitted by law, the Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Northfox does not warrant that the Software will be uninterrupted, secure, or error-free, or that any output or information provided through the Software will be accurate, complete, or reliable.

8. Limitation of Liability​

To the fullest extent permitted by law, Northfox will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to use of the Software.

To the fullest extent permitted by law, Northfox's total liability under this Agreement will not exceed the amount you paid to Northfox for the Software in the twelve (12) months preceding the event giving rise to the claim.

9. Export and Compliance​

You agree to comply with all applicable export control and sanctions laws and regulations. You may not use or export the Software where prohibited by applicable law.

10. Governing Law​

This Agreement is governed by applicable laws in the jurisdiction where Northfox operates, without regard to conflict-of-law principles, unless otherwise required by mandatory local law.

11. Entire Agreement​

This Agreement, together with any applicable Terms of Service and Risk Disclosure, forms the complete agreement between you and Northfox regarding use of the Software.
